Terms & Conditions of Sale
1. Payment & Credit Terms
1.1 Credit Terms
Approved customers may be granted a 30-day end-of-month (EOM) credit facility, unless otherwise agreed in writing.
1.2 Payment Obligations
All invoices must be paid in full by the due date without deduction, set-off, or counterclaim.
MeddicorPlus reserves the right to:
- Suspend supply
- Cancel outstanding orders
- Withdraw credit facilities
in the event of overdue accounts.
1.3 Interest on Overdue Accounts
Overdue amounts may incur interest at 1.5% per month, calculated daily, or a lower rate at MeddicorPlus’ discretion.
1.4 Retention of Title
Title in all goods remains with MeddicorPlus until full payment of all outstanding amounts is received.
MeddicorPlus reserves the right to recover goods in the event of non-payment.
1.5 Pricing & GST
- All prices are exclusive of GST unless stated otherwise
- GST is payable in accordance with Australian law
- Prices are subject to change with 30 days’ notice
1.6 Invoice Queries
Any invoice discrepancies must be reported in writing within 7 days of invoice date.
Failure to do so constitutes acceptance.
2. Orders
2.1 All orders are subject to acceptance by MeddicorPlus.
2.2 Acceptance occurs upon:
- Written confirmation, or
- Dispatch of goods
2.3 Placement of an order constitutes acceptance of these Terms & Conditions.
2.4 MeddicorPlus reserves the right to:
- Refuse or cancel orders
- Apply minimum order quantities or freight charges (if applicable)
3. Delivery
3.1 Delivery timeframes are estimates only and not guaranteed.
3.2 MeddicorPlus is not liable for delivery delays.
3.3 Customers must inspect goods upon delivery and notify any issues within 7 days.
3.4 Additional charges may apply where delivery access is restricted or unsuitable.
4. Risk & Liability
4.1 Risk in goods passes to the customer upon delivery.
4.2 To the extent permitted by law, MeddicorPlus is not liable for:
- Indirect or consequential loss
- Loss arising from misuse, improper handling, or incorrect application
4.3 Liability is limited (at MeddicorPlus’ option) to:
- Replacement of goods
- Repair of goods
- Refund of purchase price
5. Returns & Claims
5.1 Returns require prior written approval.
5.2 Returned goods must be:
- Unused
- In original packaging
- In resalable condition
5.3 MeddicorPlus may apply:
- Restocking fees
- Return freight charges
5.4 Claims for damaged or defective goods must be submitted within 7 days of delivery.
6. Force Majeure
MeddicorPlus is not liable for delays or failure to perform due to events beyond reasonable control, including:
- Supply chain disruptions
- Natural disasters
- Industrial action
- Government restrictions
Obligations are suspended during such events.
Orders may be cancelled if delays exceed 30 days.
7. Product Use & Responsibility
MeddicorPlus supplies products only. The customer is solely responsible for:
- Proper use of products
- Staff training
- Clinical application and compliance
8. Warranty
8.1 Australian Consumer Law
Nothing in these Terms excludes rights under the Australian Consumer Law (ACL).
Customers are entitled to remedies for major failures and foreseeable loss.
8.2 Manufacturer Warranty
- Products supplied are sourced from third-party manufacturers
- Any warranty is limited to the manufacturer’s warranty (where applicable)
8.3 Warranty Exclusions
Warranty does not apply to:
- Misuse, improper handling, or incorrect storage
- Normal wear and consumables
- Products altered or used outside intended purpose
- Third-party products supplied at customer request (covered only by original supplier warranty)
8.4 Warranty Claims
Warranty claims must:
- Be submitted in writing
- Include details of the defect
- Be made within the applicable warranty period
Customers are responsible for return costs unless otherwise agreed.
9. Limitation of Liability
To the maximum extent permitted by law:
- MeddicorPlus is not liable for indirect, incidental, or consequential loss
- Total liability is limited to the purchase price of the goods supplied
10. General
10.1 These Terms constitute the entire agreement unless varied in writing.
10.2 If any provision is invalid, remaining provisions remain enforceable.
10.3 These Terms are governed by the laws of New South Wales, Australia.
